Overview

The Associate General Counsel provides leadership and functional expertise in support of commercial deals, transactional and strategic initiatives for the company. This experienced attorney will independently (and actively) draft, review and negotiate a broad array of commercial agreements including strategic business transactions, collaborations, vendor agreements and other contracts.  Reporting to the General Counsel, the Associate General Counsel will also have significant interaction with internal clients and senior executives and extensive cross-functional collaboration with all functions that touch the sales cycle.  This individual will further play a key role in continuous improvement efforts to implement scalable contracting processes and prioritize business demands.

Responsibilities
    Draft and negotiate commercial and vendor contracts and assess attendant risk, in partnership with business clients and cross-functional stakeholders;
  • Provide legal review, advice and support on a broad range of legal matters including commercial contracting, transactional and general corporate matters;
  • Lead and cultivate a team dedicated to contracting matters in the Legal and Compliance Department;
  • Respond to contract related inquiries and provide guidance as a subject matter expert;
  • Work cross-functionally to ensure that contractual terms are compliant with legal, regulatory, corporate and risk requirements;
  • Advise internal clients on contract interpretation, dispute resolution, risk allocation and other legal considerations;
  • Establish trusted advisor relationships with the Business and Sales leadership teams;
  • Guide Product teams and Sales teams on contract interpretation, standardizing contracts, dispute resolution, risk allocation and other legal matters;
  • Lead initiatives to improve contract processes, including to reduce cycle times and increase efficiency;
  • Other duties, as assigned by the General Counsel;
  • Maintain compliance with Inovalon’s policies, procedures and mission statement;
  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position;
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of the Company; and

Qualifications
  • A minimum of 12 years of legal experience to include significant experience as a transactional attorney;
  • High volume commercial transactions experience with a sales-driven, software or other technology company is a plus;
  • Excels at communicating business and legal issues to senior management, other business leaders and non-lawyers;
  • Ability to lead, manage, and prioritize competing transactions and other projects from inception to completion in a collaborative, fast-paced environment;
  • Experience providing business-focused legal counsel in the life sciences, advisory and/or pharma space is preferred;
  • Exceptional business judgment, with the ability to think tactically and strategically and provide practical advice by balancing business needs with legal risks;
  • Ability to effectively manage and prioritize multiple deals and agreements;
  • Ability to work in a fast paced and dynamic environment; and
  • Experience leading and mentoring attorneys and/or other legal staff.
