The Legal Specialist (Contracts) is responsible for managing Inovalon’s contract administration functions with a focus on life sciences and advisory transactions. This role will also maintain status on contract actions, prepare various contract instruments and related documents, research contracts and provide other legal support as needed.  The incumbent will also act as a resource to others in the Legal and Compliance Department and support cross-departmental relationships with Business Development, IT, Finance, and other internal stakeholders.

    Manage contract administration functions;
  • Serve as the primary administrator for the contract management solution and primary point of contact for all contract administration functions for life sciences and advisory matters;
  • Intake and process NDAs, vendor and client contracts, Business Associate Agreements and other legally binding documents, ensuring that all appropriate levels of approval have been obtained and the Legal Department has all required information to work on such documents;
  • Track contracts and generate individual and team metrics;
  • Assist with drafting and review of contractual documents (e.g., consulting agreements, statements of work, non-disclosure agreements);
  • Prepare first draft of all client contracts in accordance with business requirements;
  • Work with attorneys and designated staff to navigate contract and agreement processes; support planning and related coordination;
  • Serve as liaison between members of the Contract team, including those working with Inovalon’s affiliate or subsidiary organizations;
  • Prepare confidential letters, official correspondence, and other written communications;
  • Keep contracts organized by establishing and organizing files, monitoring calendars, meeting deadlines, documenting actions, inputting information into electronic contract database and case management software, and confirming case status with attorneys;
  • Effectively request, collect, review and compile information from other departments (Business Development, IT, and Finance) and other internal stakeholders as required for various responses, reports, company registrations, etc.;
  • Develop and update policies and procedures, forms and templates and training materials;
  • Maintain compliance with Inovalon’s policies, procedures and mission statement;
  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; and
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of the Company.

  • A minimum of three years of experience as a legal assistant, paralegal, contracts administrator, or other relevant capacity in law firm or corporate legal department environment;
  • A minimum of two years of experience drafting commercial contracts preferred;
  • High proficiency in Microsoft Office product suite (including Word, Excel and PowerPoint);
  • Experience with Salesforce, SpringCM, or other similar contract management solutions preferred;
  • Ability to work in a fast paced and dynamic environment;
  • Ability to manage and set priorities effectively;
  • Meticulous attention to detail and quality of work product;
  • Superior verbal and written communication skills for multiple audiences including staff, management and senior executives;
  • History of being a team player and willingness to contribute wherever needed;
  • Ability to communicate and deal effectively with diverse individuals at all organizational levels; professional, personable, approachable and courteous demeanor;
  • Must be organized and comfortable with multi-tasking, with proven ability to handle multiple projects, prioritize and meet deadlines; and
  • Demonstrate good judgment and professionalism, and exhibit flexibility and versatility to provide support.
