Overview

The Senior Corporate Counsel will play a key role on our Commercial Contracts Team and be responsible for drafting and negotiating contracts on behalf of multiple lines and businesses, including customer and vendor contracts. The incumbent will also advise senior management on legal issues related to a broad array of commercial and product initiatives. This role will also provide legal advice and counsel to internal clients at all levels on various commercial matters and partner closely with the Sales team and other internal executives to execute on company business objectives and mitigate risk.

Responsibilities
    Structure, draft, and negotiate complex commercial agreements with customers and partners, including technology-related agreements, professional services agreements, nondisclosure agreements and data sharing agreements;
  • Provide legal review, advice, and support on a broad range of legal matters including strategic transactional documents, commercial contracting, licensing, quality and operations, transactional and general corporate matters;
  • Advise internal clients on contract interpretation, dispute resolution, risk allocation and other legal matters;
  • Provides guidance and contract interpretation to internal customers;
  • Respond to contract related inquiries and provide guidance as a subject matter expert;
  • Identify and evaluate contractual and legal risks of business opportunities and suggest alternatives that lead to optimal solutions.
  • Work cross-functionally with Sales, Finance, and Operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences;
  • Establish trusted advisor relationships with the business leadership team and the sales leadership team.
  • Support sales/business teams on opportunities including support of the RFP process and contract terms requiring approval;
  • Lead initiatives to improve contract processes, including by reducing cycle times and increasing efficiency;
  • Educate internal business teams on contract terms, negotiation best practices, commercial implications, legal risks, etc.;
  • Maintain compliance with Inovalon's policies, procedures and mission statement;
  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon's operating policies and procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position;
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of Employer, and other duties as assigned;
  • Take on additional assignments and responsibilities as needed; and

Qualifications
  • A minimum of eight years' experience as a practicing attorney with at least five (5) years of experience working at a law firm, corporate legal department or similar environment;
  • Significant experience in commercial contracting, including drafting, reviewing, negotiating and advising business partners on complex agreements;
  • High volume commercial transactions experience with a sales-driven, software or other technology company is a plus;
  • Ability to effectively communicate with senior management, including translating complex technical and legal issues;
  • Exceptional business judgment, with the ability to think strategically and provide practical advice by balancing business needs with legal risks;
  • Ability to effectively manage and prioritize multiple deals and agreements;
  • Urgency and results focus to ensure timely and appropriate response to issues raised; and
  • Ability to work in a fast paced and dynamic environment.
